These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", or "you") and Debmedia Technologies LLP ("Company", "we", "us", or "our"), operating under the brand name YEEESSSS.
By accessing or using our website, services, or any related offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must immediately discontinue use of our Services.
1. Definitions
- "Company" refers to Debmedia Technologies LLP, operating as YEEESSSS
- "Client" or "User" refers to any individual or entity using our Services
- "Services" refers to all website design, development, hosting, and related services offered by YEEESSSS
- "Website" refers to yeeessss.com and all associated domains
- "Project" refers to the specific website development work agreed upon between Client and Company
- "Deliverables" refers to the final website files, designs, and materials provided to Client
2. Acceptance of Terms
By using our Services, you represent that:
- You are at least 18 years of age or have parental/guardian consent
- You have the legal authority to enter into this agreement
- You will use the Services in compliance with all applicable laws
- All information you provide is accurate and truthful
Continued use of our Services constitutes ongoing acceptance of these Terms, including any updates or modifications.
3. Services Provided
YEEESSSS provides the following services:
3.1 Website Design & Development
- Custom website design based on client requirements
- Responsive web development (mobile, tablet, desktop)
- Homepage design preview before payment
- Complete website development upon approval
3.2 Optional Services
- Domain registration (subject to package terms)
- Web hosting services (subject to package terms)
- Logo design (if not provided by client)
- Content optimization
- Basic SEO setup
3.3 Service Limitations
Our services do not include:
- Ongoing website maintenance (unless separately contracted)
- Content writing (client must provide content)
- Advanced custom functionalities beyond agreed scope
- Third-party integrations not specified in project scope
- Marketing, advertising, or promotional services
4. Project Process
4.1 Step 1: Information Submission
Client submits business information including:
- Business name and description
- Products/services offered
- Images and logo (if available)
- Contact details
- Any specific requirements or preferences
4.2 Step 2: Homepage Design
Company creates homepage design based on provided information. Typical delivery time is 24-72 hours, subject to current workload.
4.3 Step 3: Review & Approval
Client reviews homepage design and decides whether to proceed. No payment is required at this stage.
4.4 Step 4: Payment & Full Development
- Upon approval, Client pays 50% of total project cost
- Company completes remaining website pages
- Client reviews final website
- Client pays remaining 50%
- Company delivers complete website
5. Payment Terms
5.1 No Advance Payment
We do not require advance payment before showing the homepage design. Payment begins only after client approval of the homepage.
5.2 Payment Schedule
- First Payment (50%): Due upon homepage approval, before full website development begins
- Second Payment (50%): Due upon final website completion and client approval
5.3 Accepted Payment Methods
- UPI (PhonePe, Google Pay, Paytm) — Preferred
- Bank Transfer (NEFT/RTGS/IMPS)
5.4 Currency & Taxes
- All payments are in Indian Rupees (INR)
- GST applies as per Indian tax laws
- International clients responsible for currency conversion and transaction fees
5.5 Late Payment
If payment is not received within 7 days of invoice date, Company reserves the right to:
- Suspend project work
- Withhold deliverables
- Cancel the project
IMPORTANT: Final website files and access credentials will only be provided after full payment (100%) is received.
6. Intellectual Property Rights
6.1 Client Ownership
Upon full payment, Client receives:
- Full ownership of the completed website design
- All website files and source code
- Rights to use, modify, and distribute the website
6.2 Company Rights
Company retains the right to:
- Display the completed project in our portfolio
- Use project as a case study or reference
- Reuse general design techniques and methodologies (not client-specific custom work)
6.3 Third-Party Assets
- Stock photos, icons, or fonts used may have separate licensing terms
- Client is responsible for obtaining proper licenses for any specific third-party content they request
- Company uses only legally licensed or royalty-free resources
6.4 Client-Provided Content
Client warrants that all content, images, text, and materials provided are:
- Owned by Client or properly licensed
- Free from copyright infringement
- Free from defamatory or illegal content
7. Client Responsibilities
Client agrees to:
- Provide accurate and complete information about their business
- Provide all necessary content, images, and materials in a timely manner
- Respond to communications and revision requests within reasonable timeframes
- Review and approve designs and deliverables promptly
- Make payments according to agreed schedule
- Maintain backups of their website after delivery
- Update and secure their website after handover
Project delays caused by client non-responsiveness or delayed material provision are not the responsibility of the Company.
8. Timeline & Delivery
8.1 Estimated Timelines
- Homepage Design: 24-72 hours from information submission
- Full Website: Varies based on project scope (typically 5-15 business days)
8.2 Delays
Timelines are estimates and may be affected by:
- Current workload and project queue
- Complexity of project requirements
- Client responsiveness and material provision
- Technical issues or unforeseen circumstances
8.3 Force Majeure
Company is not liable for delays caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or other force majeure events.
9. Revisions & Changes
9.1 Included Revisions
Each project includes reasonable revisions to ensure client satisfaction. Exact number depends on package selected.
9.2 Scope Changes
Significant changes to original project scope may require:
- Additional fees
- Extended timeline
- New written agreement
9.3 Revision Requests
Revision requests must be:
- Submitted in writing (email or WhatsApp)
- Clear and specific
- Within reasonable scope of original project
10. Hosting & Domain Services
10.1 Package Inclusions
- Projects above ₹7000-₹8000: Free domain + 1 year hosting
- Projects ₹3000-₹5000: Free 1 year hosting (domain not included)
- Projects below ₹3000: Hosting and domain not included
10.2 Client's Own Hosting
Clients may use their own hosting and domain. Company will assist with website upload and setup.
10.3 Renewal
- Domain and hosting renewals are client's responsibility
- Renewal fees apply as per standard market rates
- Company may provide renewal reminders as a courtesy but is not obligated to do so
10.4 Website Ownership
After final payment, Client receives full access to:
- Hosting control panel
- Domain management
- Website files and databases
- Admin credentials
SECURITY RECOMMENDATION: Clients should change all passwords immediately after receiving access credentials.
11. Confidentiality
Both parties agree to:
- Keep confidential information private and secure
- Not disclose sensitive business information to third parties
- Use confidential information only for the purpose of completing the project
This obligation survives termination of the agreement.
12. Warranties & Disclaimers
12.1 Company Warranties
Company warrants that:
- Services will be performed with reasonable skill and care
- Delivered website will be functional at time of delivery
- Work will not infringe on third-party intellectual property rights (to the best of our knowledge)
12.2 Disclaimers
Company does NOT warrant:
- Specific business results, traffic, or revenue from the website
- Uninterrupted or error-free website operation after delivery
- Compatibility with future browser or technology updates
- Security against all hacking or malicious attacks
- Ranking on search engines or SEO success
12.3 "As-Is" Delivery
After final delivery and payment, website is provided "as-is" unless ongoing maintenance is separately contracted.
13. Limitation of Liability
13.1 Maximum Liability
Company's total liability for any claims arising from Services shall not exceed the total amount paid by Client for the specific project in question.
13.2 Excluded Damages
Company is NOT liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss (Client responsible for backups)
- Downtime or service interruptions
- Actions of third-party service providers
- Client's misuse of delivered website
- Legal claims from end users of Client's website
13.3 Indemnification
Client agrees to indemnify and hold harmless Company from claims arising from:
- Client-provided content or materials
- Client's use or misuse of delivered website
- Client's violation of applicable laws or regulations
- Third-party claims related to Client's business operations
14. Termination
14.1 Client Termination
Client may terminate project at any time with written notice. In such case:
- Client pays for all work completed to date
- Company delivers work completed thus far (if payment received)
- No refund for payments already made
14.2 Company Termination
Company may terminate project if:
- Client fails to make payment as agreed
- Client provides false or fraudulent information
- Client requests illegal or unethical work
- Client is abusive or unprofessional in communications
- Project becomes unfeasible due to client actions or inactions
14.3 Effect of Termination
- All outstanding payments become immediately due
- Company retains all intellectual property until full payment received
- Confidentiality obligations continue
15. Refund Policy
For detailed refund terms, please refer to our separate Refund Policy.
15.1 General Policy
- No refund for completed and delivered work
- Partial refunds considered only in exceptional circumstances
- Refund requests must be submitted in writing within specified timeframe
16. Jurisdiction and Governing Law
GOVERNING LAW:
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
EXCLUSIVE JURISDICTION:
- All disputes, claims, or legal proceedings arising out of or in connection with these Terms, our Services, or any business relationship with Debmedia Technologies LLP shall be subject to the exclusive jurisdiction of the competent courts located in Hooghly, West Bengal, India.
- Users and clients expressly agree that they shall not initiate or pursue any legal action, claim, or proceeding in any other jurisdiction, country, state, or forum, whether domestic or international.
- This exclusive jurisdiction applies regardless of where you are located or where you access the Services from.
VENUE FOR ALL PROCEEDINGS:
- In the event that any physical appearance, legal hearing, mediation, arbitration, deposition, or official proceeding is required, the same shall take place exclusively within the territorial jurisdiction of Hooghly, West Bengal, India.
- No proceedings may be held in any other location without the express written consent of both parties.
- Virtual/remote proceedings may be conducted by agreement, but the legal venue remains Hooghly, West Bengal.
WAIVER OF JURISDICTION CHALLENGES:
By accepting these Terms, you irrevocably waive:
- Any objection to the jurisdiction of courts in Hooghly, West Bengal, India;
- Any claim that such courts are an inconvenient forum;
- Any claim that you lack sufficient contacts with West Bengal, India;
- You consent to personal jurisdiction in Hooghly, West Bengal for all matters;
- You agree not to challenge venue or jurisdiction on any grounds.
NO FOREIGN LAWSUITS:
- International clients expressly agree that any disputes will be resolved only in India;
- No lawsuits may be filed in client's home country or any other jurisdiction;
- Foreign judgments against the Company will not be recognized or enforceable unless first submitted to courts in Hooghly, West Bengal;
- The Company will not submit to jurisdiction of any foreign courts.
ENFORCEMENT OF JUDGMENTS:
- Any judgment from courts in Hooghly, West Bengal may be enforced in any jurisdiction where the Company or you have assets;
- You consent to enforcement of Indian court judgments in your jurisdiction;
- Courts in Hooghly, West Bengal have exclusive authority to interpret these Terms.
INDIAN LAW APPLIES:
- Indian substantive and procedural law applies to all aspects of these Terms;
- Indian law governs contract formation, performance, breach, and remedies;
- Indian limitation periods and statutes of limitations apply;
- Indian evidence rules and civil procedure apply to any proceedings;
- No foreign law or international conventions apply unless expressly incorporated.
LANGUAGE OF PROCEEDINGS:
All legal proceedings, arbitrations, mediations, and court hearings shall be conducted in the English language.
ESSENTIAL TERM: This jurisdiction and governing law clause is an essential, non-negotiable element of these Terms. The Services are offered only on the condition that you accept exclusive Indian jurisdiction.
17. International Use and Compliance
17.1 Global Accessibility
While our Services may be accessible from countries outside India, we make no representation that the Services are appropriate or available for use in all locations.
17.2 Your Responsibility
If you access the Services from outside India, you do so at your own risk and are responsible for:
- Compliance with local laws in your jurisdiction;
- Determining whether use of Services is lawful in your country;
- Obtaining any necessary government approvals or licenses;
- Complying with data localization requirements;
- Paying applicable taxes and duties;
- Currency conversion and international payment processing.
17.3 Prohibited Jurisdictions
Services may not be available or may be restricted in certain countries due to legal restrictions, sanctions, or technical limitations.
INDIAN LAW PREVAILS:
Regardless of where you access the Services, Indian law and Hooghly, West Bengal jurisdiction apply as set forth in Section 16.
18. Privacy & Data Protection
Our collection and use of personal information is governed by our separate Privacy Policy.
By using our Services, you also agree to our Privacy Policy.
19. Modifications to Terms
19.1 Right to Modify
Company reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website.
19.2 Notification
We will make reasonable efforts to notify users of material changes through:

19.3 Continued Use
